These Terms & Conditions (“Terms”) govern your access to and use of https://pdwow.com/ (the “Site”) and any purchases made through the Site. By using the Site or placing an order, you agree to these Terms, our Privacy Policy, Refund & Returns Policy, Site & Artwork License Terms, IP Policy (Copyright, Trademarks & Takedown), and Legal Framework: Transformative Use, Parody, and Pastiche and other related documents referenced herein (together, the “Legal Documents”).
Operator. The Site is operated by MASTERBEE LTD, company number 14715836 (“Company”, “we”, “us”, “our”).
Business model. The Company offers licensed digital graphic works and provides users with the technical ability to place print-on-demand orders for physical products incorporating such works. Physical products are produced, fulfilled, and delivered by independent third-party fulfilment providers acting in their own name and on their own responsibility.
Graphic works. All graphic works made available on the Site are original creations by independent authors and are offered under applicable licence terms. Certain works may constitute humour, satire, parody, or pastiche and are created in accordance with the Company’s Legal Framework: Transformative Use, Parody, and Pastiche.
If you do not agree to these Terms, do not use the Site.
1) Definitions
For the purposes of these Terms:
- Customer / you: the person using the Site and/or placing an order.
- Products: physical goods manufactured and supplied by Fulfilment Partner(s) which may incorporate one or more Licensed Designs and which may be ordered through the Site.
- Digital Products: downloadable digital files (including images, illustrations, vector files, packs, or similar digital content) made available on the Site and supplied under the applicable Design Licence Terms (and/or any licence description shown at checkout).
- Personalized Products: Products made to your specifications (e.g., custom text, size, color selection, or other customization).
- Licensed Design: any graphic design, illustration, artwork, image, vector, layout, or similar creative content made available on the Site, whether supplied as a Digital Product and/or reproduced on a Product.
- Design Licence Terms (or “Licence Agreement”): the separate licence document(s) referenced on the Site and/or at checkout (as may be updated from time to time) that set out the licence terms applicable to a particular Licensed Design and/or Order.
- Design Licence: the licence granted to you under the applicable Design Licence Terms in relation to a Licensed Design. The scope of the Design Licence (including whether it is exclusive or non-exclusive, transferable or non-transferable, and whether sublicensing is permitted) is determined solely by the applicable Design Licence Terms.
- Fulfilment Partner: third-party provider(s) engaged by us to perform manufacturing/printing, packaging and shipping operations in relation to Products, including Printify and/or its printing partners.
- Order: a purchase request submitted through the Site.
- Business Day: a day other than weekends and public holidays (as determined by the relevant party processing the step).
2) Acceptance and changes
2.1. Acceptance.
By accessing or using the Site, you confirm that you have read and understood these Terms and agree to be bound by them.
2.2. Changes.
We may modify these Terms at any time. The “Last updated” date indicates when the current version became effective. Your continued use of the Site after changes means you accept the updated Terms.
3) Eligibility
You must be able to form a legally binding contract in your jurisdiction. If you use the Site on behalf of a legal entity, you represent and warrant that you have authority to bind that entity.
4) Our business model: direct-to-consumer store with print-on-demand Fulfilment
4.1. Not a marketplace.
The Company acts as an independent Merchant of Record for transactions conducted on the Site. We offer Licensed Designs in accordance with applicable Design Licence Terms and provide customers with the technical ability to place print-on-demand orders for Products incorporating such Licensed Designs. For regulatory and payment purposes, the Company does not operate a marketplace and does not facilitate transactions between multiple independent sellers and buyers.
4.2. Print-on-demand.
Print-on-demand; outsourced fulfilment; design licensing. We do not manufacture, produce, print, assemble or package Products ourselves. Products are made to order using a print-on-demand model. All manufacturing, printing, quality control, packaging, delivery, and fulfilment services are performed by Fulfilment Partner(s) acting in their own name and on their own responsibility. Any claims relating to the physical quality, production, or delivery of such Products arise between the customer and the relevant Fulfilment Partner.
When you place an Order on the Site, you contract with us for the provision of the Licensed Design and for arranging the print-on-demand fulfilment of the Product incorporating such Licensed Design. In addition, where the Product incorporates a Licensed Design, you may be granted a Design Licence in that Licensed Design, strictly in accordance with the applicable Design Licence Terms.
For the avoidance of doubt, we are not the manufacturer of the physical Product. However, nothing in these Terms is intended to exclude or restrict any mandatory consumer rights that may apply to you in respect of the supply of Products and/or any related digital content elements, where applicable.
4.3. The Company does not control the physical manufacturing processes and does not perform production quality checks beyond the preparation of design files.
Responsibility for manufacturing defects, material quality, and production execution rests with the Fulfilment Partner, subject to applicable consumer protection laws.
4.3. Responsibilities.
- Company is responsible for: the Site, product listings, branding/design, pricing, customer communications, and handling requests under our Legal Documents.
- Fulfilment Partner is responsible for: manufacturing/printing, quality control at production stage, packaging, handing off to carriers, and shipment processing.
Nothing in this section limits your statutory rights against us as the contracting party for the supply of the Product.
4.4. What this means for you.
Because Products are made-to-order, (a) production begins shortly after an Order is accepted, and (b) returns/exchanges may be limited except as stated in our Refund/Return Policy.
5) Accounts (if available)
5.1. You may need to create an account to access certain features. You are responsible for maintaining confidentiality of your login credentials and all activities under your account.
5.2. We may suspend or terminate accounts for suspected fraud, abuse, or violation of these Terms.
6) Product information, colors, and tolerances
6.1. We strive to display Products accurately; however:
- colors may vary due to monitor/device settings;
- minor differences can occur due to printing processes, material batches, and product size constraints;
- measurements may have reasonable tolerances.
6.2. Product mockups are illustrative. Final appearance may differ slightly.
7) Orders and order acceptance
7.1. Placing an Order. When you place an Order, you confirm that all information provided (including shipping address, size, variant selection, and personalization) is accurate.
7.2. Order acceptance. An Order is considered accepted when we confirm it (e.g., by email confirmation or checkout confirmation). We reserve the right to refuse or cancel an Order, including if:
- payment is not authorized or is flagged;
- the address appears invalid or incomplete;
- we suspect fraud or misuse;
- a Product is unavailable or mispriced due to an error.
7.3. Changes/cancellations. Because Products are often produced quickly after Order acceptance, changes or cancellations may not be possible once production starts. If you contact us promptly, we will try to accommodate changes where feasible, but we do not guarantee it.
7.4. Personalized Products. Personalized Products may not be eligible for return or exchange except for defects, damage, misprints, or Fulfilment errors, as detailed in the Refund/Return Policy.
8) Pricing, taxes, and customs
8.1. Prices are displayed on the Site and may change at any time for future purchases.
8.2. Taxes, VAT, duties, and customs fees may apply depending on destination. These may be collected at checkout or upon delivery by authorities/carriers. You are responsible for such charges unless stated otherwise.
9) Payments
9.1. Card payments only. Payments are accepted exclusively by bank card via our payment processor(s).
9.2. No stored value; no internal balances. We do not offer or support any wallet, balance, top-up, stored value, virtual funds, or pre-funded account functionality. We do not hold customer funds or maintain internal user balances—each purchase is paid at checkout by card.
9.3. Authorization. You represent that you are authorized to use the chosen payment method and that all payment information you provide is accurate.
9.4. Failed payments. If payment is declined or reversed, we may cancel the Order or pause processing until payment is successfully completed.
9.5. The Company does not store, hold, manage, or safeguard customer funds. All card payments are processed directly by authorised third-party payment processors at the time of checkout. The Company does not operate any payment accounts, wallets, stored value mechanisms, or similar facilities for users.
10) Shipping, delivery, and risk
10.1. Fulfilment and carriers. Shipping is performed by our Fulfilment Partner(s) and their carrier networks.
10.2. Estimated timelines. Any shipping or delivery estimates shown on the Site are non-binding estimates. Delivery times may be affected by production capacity, carrier operations, customs clearance, or other third-party factors beyond the Company’s direct control. Actual delivery may vary due to production time, carrier operations, customs, peak periods, weather, or other factors beyond our control.
10.3. Address accuracy. You are responsible for providing a correct and complete shipping address. If an Order is returned as undeliverable due to an incorrect address or failure to collect, we may be able to reship at additional cost, or offer a remedy as described in the Refund/Return Policy.
10.4. Risk of loss. Unless mandatory law states otherwise, risk of loss transfers to you upon delivery to the provided address.
11) Returns, refunds, replacements
11.1. Returns, refunds, and replacement remedies are governed by our Refund / Return Policy, which is incorporated into these Terms by reference and applies in addition to (and does not limit) any mandatory statutory rights and remedies available to you under applicable consumer protection laws.
11.2. Remedy ladder (typical approach). Where appropriate, we may offer (a) reprint, (b) replacement, or (c) refund depending on the issue, evidence, and feasibility. The exact remedy is determined under the Refund/Return Policy and applicable law.
12) Intellectual property and permitted use
12.1. Our content. The Site and its content (including text, graphics, product listings, mockups, branding, and designs owned by or licensed to the Company) are owned by or licensed to the Company and protected by intellectual property laws.
12.2. Limited license. We grant you a limited, non-exclusive, non-transferable right to access and use the Site for personal shopping purposes. You may not:
- copy, reproduce, distribute, publicly display, or create derivative works from the Site content;
- scrape, crawl, or use automated tools to extract data from the Site;
- reverse engineer or attempt to bypass security features.
12.3. Feedback. If you submit suggestions or feedback, you grant us the right to use it without obligation to you.
12.4. Design Licence. The grant, scope, and conditions of any Design Licence depend on the specific Design Licence Terms applicable to the relevant Licensed Design or Order. Any Design Licence granted in relation to a Licensed Design is governed exclusively by the applicable Design Licence Terms. The type and scope of the Design Licence may vary by Licensed Design and/or Order and may, where expressly stated in the applicable Design Licence Terms, include rights such as transfer and/or sublicensing. Unless and to the extent expressly granted under the applicable Design Licence Terms, no rights in any Licensed Design are granted to you. No ownership of intellectual property rights is transferred to you.
In the event of any conflict between these Terms and the Design Licence Terms, the Design Licence Terms shall prevail solely in respect of licensing matters relating to Licensed Designs, and these Terms shall prevail in respect of the Site, Orders and the supply of Products.
13) Original artwork, inspiration, and third-party rights (no affiliation)
13.1 Original creations. All artwork and characters offered on the Site are original creations made by independent artists and are made available under licence.
13.2 Inspiration and transformation. Artists may draw inspiration from general themes, genres, historical eras, and broad artistic styles found in literature and graphic arts. However, each Licensed Design is newly created artwork and is not an “official” depiction of any third-party character. Designs are intended to be materially different in overall presentation (for example, styling, linework, colour palette, composition, clothing/props, and character portrayal). A detailed explanation of the legal basis, interpretative principles, and the Company’s internal rules governing transformative use, parody, and pastiche is set out in the Company’s Legal Framework: Transformative Use, Parody, and Pastiche.
13.3 No affiliation / endorsement; no misleading use. The Company is not affiliated with, sponsored by, endorsed by, or approved by any third-party rights holder, publisher, studio, platform, or brand. You must not use any Product, Digital Product, or Licensed Design in a manner that suggests official affiliation, sponsorship, endorsement, authorization, or approval by any third party.
13.4 Third-party rights may still apply. The Company does not represent or warrant that any use of a Licensed Design will be free from third-party intellectual property or related claims in every jurisdiction (including claims based on trade marks, passing off/misrepresentation, design rights, or similar laws). You are responsible for ensuring that your intended use complies with applicable law.
14) User conduct
You agree not to:
- violate laws or third-party rights;
- submit false information or impersonate others;
- engage in fraud, abuse, or intentional chargeback misuse;
- interfere with Site security or operations (including malware, bots, scraping);
- use the Site in a manner that harms the Company or other users.
15) Third-party services and links
The Site may integrate or link to third-party services (payment processors, carriers, Fulfilment services, analytics). We are not responsible for third-party content, policies, or practices. Your use of third-party services may be governed by their own terms and privacy policies.
16) Disclaimers
16.1. Site availability. The Site is provided “as is” and “as available.” We do not guarantee uninterrupted access or error-free operation.
16.2. Product disclaimers. To the maximum extent permitted by law, we disclaim implied warranties (including merchantability and fitness for a particular purpose). Some jurisdictions do not allow certain disclaimers; in such cases, mandatory rights apply.
16.3. Fulfilment and delivery. We do not guarantee production or delivery timelines. Any estimates provided are indicative only. The Company is not responsible for delays or failures caused by manufacturing partners, carriers, customs authorities, or other third parties, except to the extent that liability cannot be excluded under applicable law.
17) Limitation of liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
- If we are found liable, our total liability for any claim relating to an Order will not exceed the amount you paid for that Order, except where mandatory law requires a higher minimum.
Nothing in these Terms excludes liability that cannot be excluded under applicable law (for example, certain consumer protections).
18) Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates, directors, officers, employees, and agents from claims and expenses (including reasonable legal fees) arising out of your misuse of the Site, violation of these Terms, or violation of third-party rights.
19) Suspension and termination
We may block, restrict, suspend, or terminate your access to the Site (or parts of it) at any time if we believe you violated these Terms or if it is necessary to protect the Site, the Company, or others.
20) Governing law and dispute resolution
20.1. Governing law. These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles.
20.2. Dispute Resolution. Any controversy or claim arising out of or relating to these Terms or your use of the Site shall be settled by courts of England and Wales. Each party shall bear its own costs.
20.3. Injunctive relief. We may seek injunctive or equitable relief in any court of competent jurisdiction to protect our rights.
20.4. Consumer rights. Nothing in this section limits mandatory consumer rights and remedies that apply in your country of residence.
21) Miscellaneous
- Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
- Entire agreement. These Terms and the Legal Documents constitute the entire agreement regarding the Site and Orders.
- No waiver. Failure to enforce any provision is not a waiver.
- Assignment. You may not assign your rights under these Terms without our consent; we may assign our rights as part of business restructuring or transfer.
